CAMBRIDGE, Mass. and CHICAGO, Ill. -- Tokai Pharmaceuticals, Inc., a biopharmaceutical company focused on developing new treatments for prostate cancer, today announced that its lead candidate galeterone (TOK-001) was well-tolerated with minimal side effects and demonstrated efficacy in patients with castration-resistant prostate cancer (CRPC) in a Phase 1 study. The data will be presented in an oral presentation titled, "ARMOR1: Safety of galeterone (TOK-001) in a Phase 1 clinical trial in chemotherapy nave patients with castration-resistant prostate cancer (CRPC)," abstract number CT-07, on Tuesday, April 3, 2012 at 3:05 p.m. (CDT) at the American Association for Cancer Research (AACR) Annual Meeting 2012 in Chicago.

CRPC is an advanced, difficult-to-treat form of prostate cancer that occurs when the disease progresses despite the use of anti-hormonal therapies. Galeterone is a small molecule, oral drug for the treatment of CRPC that disrupts the growth and survival of prostate cancer cells via a novel and proprietary triple mechanism of action.

"Because currently available therapeutic options to treat castration-resistant prostate cancer are limited, often poorly-tolerated and may fail because of resistance, patients are in urgent need of new safe and effective treatments," said Mary-Ellen Taplin, M.D., associate professor of medicine, director of genitourinary clinical research, Dana-Farber Cancer Institute, Harvard Medical School and co-lead researcher in the study. "These Phase 1 galeterone data, demonstrating minimal toxicities, improved PSA response and a reduction in tumor size, are exciting for those of us in the medical community treating this life-threatening cancer. I look forward to following the further development of galeterone as a promising approach in the treatment of prostate cancer."

The ARMOR1 study was led by co-principal investigators Dr. Taplin and Bruce Montgomery, M.D., associate professor of medical oncology at the University of Washington School of Medicine, and their colleagues at leading prostate cancer research centers in the United States. The Phase 1 proof-of-concept clinical trial, part of the ARMOR (Androgen Receptor Modulation Optimized for Response) clinical development program for the evaluation of galeterone, enrolled 49 patients and was a dose-finding study to evaluate escalating dose levels of galeterone. The study also evaluated safety and reduction in prostate-specific antigen (PSA) levels from baseline levels measured at first visit. Patients who responded to therapy had the option to continue treatment with galeterone in an extension arm of the trial.

Most side effects were minor and included fatigue, nausea and diarrhea. Early efficacy tests demonstrated that 49 percent of patients had prostate-specific antigen (PSA) reductions of 30 percent or more; 11 of these patients had reductions of 50 percent or more. In addition, CT scans revealed a significant reduction in tumor size for some patients.

"We are pleased with the results of our Phase 1 proof-of-concept study, which demonstrated galeterone tolerability and efficacy in a difficult-to-treat, resistant prostate cancer patient population," said Martin D. Williams, president and chief executive officer, Tokai Pharmaceuticals. "Galeterone is the only prostate cancer therapy in development that combines three distinct mechanisms of action in one compound for a unique multi-target approach. The reductions in PSA levels seen in nearly half of all patients evaluated in our Phase 1 study are meaningful in a dose-escalation study and supportive of our Phase 2 clinical trial set to initiate later this year."

In the Phase 1 study, researchers observed transient, non-serious elevated liver function tests in 15 patients, most of whom were asymptomatic. Eleven of these patients stopped galeterone treatment, and of those, six of seven patients were rechallenged and successfully returned to treatment with no significant recurrence in liver function test elevations.

A Phase 2 study evaluating long-term safety and efficacy of galeterone in CRPC patients is planned for the second half of 2012.

1. As a lawyer, how important is protecting intellectual properties?

Well, it may not be important to all lawyers in all parts of the practice and in all jurisdictions. Many other lawyers practice in such narrow areas of specialty, and/or in such unrelated fields, that intellectual property (I.P.) issues seldom if ever come up for them. Yet for a music and entertainment lawyer like myself, intellectual property protection is an everyday, life-time concern and a regular challenge.

In theory, every business-owner should have a working knowledge of I.P. After all, one's own business name is a property, usually claimable as a trademark or service mark. So, too, might be a band's name or an artist's name.

Clearly anyone in the field of entertainment needs to have a working knowledge of intellectual property - and with respect to their own original material, they need to be vigilant in regards to protecting it. The primary areas that need to be mastered in these respects, are the I.P. areas of copyright and trademark. A good starting-point is the U.S. Copyright Office (USCO) website, to the extent an artist may not already be familiar with it. I first learned about copyright by writing to the USCO and requesting their written materials by mail. This was in the days before the Internet happened.

2. What is it like working with TV actors and musicians?

I love doing it, but for me it is business as usual. My father is an actor who started his career as a child actor in the 1940's. I grew up on tour with my Dad and my Mom while one or both of them were working on summer-stock or other performances.

I played guitar in a rock-and-roll band in high school with a piano-player named John ("Jojo") Hermann, who then became Widespread Panic's keyboard player. I played guitar in a rock-and-roll band in college with Tom Morello, who then became the guitar player for Rage Against The Machine, Audioslave, and Street Sweeper Social Club, not to mention his work as The Nightwatchman. I still play rock music with members of my college band, in what little free time I have these days.

The majority of my friends are in the arts or entertainment in some way. So, it's more than working with actors and musicians. I live with actors and musicians, and in some cases I'm related to them.

3. How does it feel to be the force behind so many forms of media?

I would never say that, because I'm not the talent in the performance or recording. Maybe my clients are, if their work gets heard or seen in any individual case. I think if there is a "force" behind all of it, it's something more akin to divine inspiration - that moment when the creativity runs right through the artist as template or conduit. Artists are original but are also a product of their life experiences, and what they have already seen and heard. The "force" of artistic creativity is a lot bigger than any one of us.

That said, I think an entertainment lawyer has to have a respect of, and also a distance from, the art form. If you lose your objectivity you can't effectively represent someone. The Hippocratic Oath of doctors is something like, "First Rule, Do No Harm". Something like that is also true for an entertainment lawyer. While the first and foremost rule is to protect the client while following the law, one special corollary for entertainment lawyers should be "Don't Impair The Art Form". In other words, don't ever substitute your own notion of artistic judgment, for that of the artist - at least not when you're working, that is. Know that the art is bigger than you.

In this respect, my clients are the force. They teach me what art really is. Every day.

4. Can you tell us a little about your early life and what led up to being an entertainment lawyer?

I grew up in a show business family, as did many other kids I knew in 1960's Manhattan. I grew up in mid-town. I always ran into celebrities, and always recognized them when I saw them - from the newspaper or my old black-and-white television. My neighbors growing up were Walt "Clyde" Frazier, Jack Dempsey, Rusty Staub, Jake LaMotta, Ken Boswell, Jim Fregosi, and Dave Marshall. I played sports at an early age. I played music at an early age. Performances are what people did, and attended, in Manhattan, and still do. I've worked in other areas of commerce, with other forms of businesses, too, but I always considered entertainment the family business - much like a boy who grew up in his father's auto-shop might be more likely to become a mechanic later on, once grown up.

The main question to me was whether I was going to be a performer, as in a baseball player or rock musician - or alternatively, work in the businesses related to those performances. By the time I made that decision, I had already lived through life on the road, and life between casting calls - not to mention with a thrown-out pitching arm and fear of tinnitus. I didn't want to spend an unspecified amount of further time lifting P.A. stacks into and out of unmarked vans, or let the gigs take any more of a physical toll on me. I was thinking long-term. I was reasonably sure that as an entertainment lawyer I could stay as close as I wanted to, to the art forms that meant something to me. I was right.

5. What other lawyers inspire you?

Any lawyer that selflessly works on causes and gives back to the community. I have worked on environmental causes in the past, and that work is the most draining type of pursuit you can ever imagine. It's all-consuming.

My main inspirations are Phil Hoffman, Esq., who was my mentor when I started in the practice of law at Pryor Cashman in New York in 1987 - as well as my entertainment law professor from UCLA School Of Law, Gary Stiffelman, Esq. What they taught me, I take with me and use, every day of my working life.

6. What advice do you have for aspiring musicians?

Well, I wouldn't want my thoughts in an article misconstrued as legal advice for any specific person in any specific situation. That kind of advice should only be sought and obtained in a one-to-one and private dialogue with counsel.

However, I can summarize the things I might say to aspiring musicians who are friends of mine. The main thing now, in 2012, is not to give up. Collectively, we have just turned the corner, in terms of the American economy, and in terms of the music industry specifically.

Many nay-sayers for the past few years doubted whether new artists could ever make money and support themselves on music ever again. Sure, in some respects it is more difficult to do, post-digital downloading. But the music industry has already re-invented itself. The center of gravity is now performance and touring revenue, and merchandise. Don't fight the new model. Embrace the new model.

Furthermore, there is so much more that artists can do now to promote sales and make themselves known, including social media. And the trend is towards eliminating the middlemen who used to introject themselves into every income-stream. Embrace the new model. Make it your own.

I used to have music friends who were afraid to use cell phones. Now, those same friends are managing their publishing businesses with secure lap-tops while on tour. The main bit of advice to music friends always is, "Empower yourself, control your own destiny, and make sure that you (or your counsel) generate all your own documents". I tend to see artists as in either of one or two groups - "Victims", and "Empowered". The fundamental distinction between the two groups, is that the "Victims" make themselves beholden to other people's documents, whereas the "Empowered" control the drafting of their own documents. With the availability of desktop-publishing since the 1980's, there is no excuse in 2012 for not controlling the drafting of the documents that affect your life or your career. There is no reason to ever blindly sign on to someone else's form. All that does is make more work for the litigators.

7. What is your opinion on the current state of the music industry?

I'm sanguine about it.

The best new feature is the ability of artists to self-distribute, either by sale of CD's on tour at retail, or over the Internet.

The worst new feature also relates to the Internet, though, too - the ability of pirates to poach material digitally, in a matter of milliseconds.

Personally, I am happy that a premium is now placed on artists doing live performances, and more of them. To me, that is what the art form is really about, anyway. There are bands re-grouping after 20 or 25 years of inactivity, and going back out on the road. In a way, it's a shame that current economic realities force them back out on the road when they earlier thought they could comfortably retire on royalties. But the fact of the matter is, it's a good thing that one or two whole new generations of music fans now have an opportunity to see and hear these bands and artists. After all, once these bands and artists are gone, all that may remain are the recordings - and the recordings just aren't the same thing as a live performance, or the meet-and-greet afterwards.

8. What's the hardest part of being involved in the entertainment industry?

Knowing that some talent remains undiscovered... and, these days, seeing a trend towards the replacement of union talent with non-union talent, which is a somewhat-related issue. The just-world-hypothesis tells us that talent and hard work should be rewarded. It often is. But it is not always rewarded. Unfortunately politics and luck sometimes play a part in the reward outcome, too.

That said, the trend towards artist self-distribution might be the panacea. The market, the public, should decide which art they want to pay to hear, see, and experience. The decision should not be force-fed to the public by the same 3 or 5 corporate conglomerates.

So I think generally, the hardest part about being involved in the entertainment industry, is knowing that the continued concentration of economic power therein, in the hands of a few rather than many, prevents a lot of good material from being heard or seen.

My hope is that this changes in my lifetime, and that I get to see it. I am going to continue to fight to make the change happen, too.

David Archuleta Says (Not) Goodbye to Fans


THG's second favorite Mormon is saying goodbye.

Or not goodbye, based on the title David Archuleta has given his latest video blog.

But the former American Idol runner-up is headed off on a two-year mission for the Church of Jesus Christ of Latter-Day Saints at an undisclosed country and won't be around for a very long awhile to update fans on his life or career.

"It's been a very emotional last week," David says below. "It's a decision everyone knows about but it's a very personal thing and I wanted to keep it that way. So I hope you guys respect that, and you guys have so I appreciate that."

I don?t think I?ve ever farted in front of my significant other. In fact, I?m pretty sure I did I super cartwheel out of bed, over the bed bench and baseball slide out of the bedroom door just to do it. I?ve bucked a toe or two with these fast moves. Hurts like hell.

When my boyfriend and I first started dating, I wouldn?t even let him see my morning face. He?d wake up to a clean mouth, astringent-cleaned face and a spritz of Victoria Secret.

I?d followed a friend?s advice: ?For the first three months, you never let him catch you slipping girl. Don?t let him wake up to morning breath, keep the sweats in the drawer and keep that lip gloss on deck!? For a tomboy with a vast sneaker collection, three pairs of heels and one lip gloss to her name; I was devastated. Keeping up these shenanigans for three months was going to be madness. Then it hit me. Wouldn?t he discover ?true me? after three months? Would he stick around then? If he?s going to leave, why should I stop him now? My friend is a fool. Love her to death, but trying to maintain and play these cat and mouse games to win over someone who?s already won, is wack. This beckons the question: At what point of the relationship, do we stop wearing our masks? If I backtrack through my union, I remember the exact point that I did. We met up with some friends at a beer garden in Long Island City for some fun. I?m still quite the inexperienced drinker; I mixed a Long Island Iced Tea with two beers. It wasn?t the greatest idea. Halfway back to the car, I stumbled over a few sidewalk cracks before I realized that my ?Oops my bad? had a slur. My new boyfriend laughed and giggled, even when I sat on a random brownstone steps, folded my arms and grimaced at him. ?What?s so funny?? I asked him. He smiled. ?You are. I?ve never seen you without inhibition.? At that moment all I could think about was prohibition. I grabbed hold of his arm, pulled it in the direction of the car and started to walk again. That night I threw up approximately three times and sprawled across the white sheets like a drunken snow angel. When I woke up the next morning, still a little hazy, he wasn?t beside me. I tiptoed to the living room where I found him, awake on the couch, grinning up at me. ?Drunk girlfriend! I see you?re awake. Sorry, there was no room on the bed for me.? I laughed and sat down beside him. For the first time, we spent the morning together; no make-up, last night?s clothes, morning breath and all. As the sun peeked through the blinds of the living room, he pinched my nose and said, ?Breakfast?? Why I didn?t do this earlier? A great weight was lifted off of my shoulder. During the next few months he?d find out about my sneaker collection and push me to wear them, he?d tell me that he loved my face pre-makeup and that my bad-hair-day hat was cute. This post is for all the girls who are obsessed with matching bra?s and panties, chipped nail polish and that little red dress. It?s for all the women who pretend they don?t have a past in order to keep their future. This is for the Sydney Shaws (Brown Sugar) who are awkward and clumsy and want nothing more than their best friends to fall in love with them.

As H.P. Lovecraft might describe true Beliebers, once rumored to occupy 3 percent of Twitter services, they are not composed altogether of flesh and blood. They have shape, but that shape was not made of matter. They cannot be controlled. They cannot be contained. Not even by Justin Bieber himself.

Perhaps in the headiness of just turning 18, Bieber forgot this fact. Maybe he never respected it. Whatever the motivation, the pop singer tweeted 9 out of 10 digits of an alleged phone number, and then asked his 19 million followers to "Call me right now." They responded by trying to fill in the 10th digit, causing switchboard chaos. Now Bieber may have to pay for his hubris at the hands of Johnny Lawsuit.?

Two Texans are in talks with attorney Emily Horton after they say Bieber's prank tweet resulted in 10s of thousands of phone calls locking up their phone lines and voicemail.?

For Dilcie Fleming, 81, of Dallas, the calls started at 10:30 p.m. on a Tuesday night several weeks ago. "I answered the phone only because I thought maybe it was a family member," Fleming told msnbc's Tamron Hall. "I explained to (to the caller) that it wasn't Justin's phone number. I hung up and my phone rang again. But the voicemails kept coming, and she says, "they're still going on. "

Fleming's preference isn't to sue. "I would like to have is an apology from him and possibly concert tickets for two great granddaughters," she said. ?As for the calls? "I've?ve kinda got used to it -- but I'd like for it to quit."?

This is the third tale in two weeks of a celebrity's reckless use of Twitter. Yesterday, Spike Lee apologized for retweeting to his 240,000 followers the erroneous address blindly accepted by many as that of George Zimmerman, the man who fatally shot 17-year-old Trayvon. The elderly couple who did live there are reportedly now staying at a hotel for safety.

Last week, Alec Baldwin mustered a Twitter army against someone he claimed was harassing his girlfriend on the Internet.?As we noted then, if the troll harassing his GF really is as bad as he claimed, then,?way to fuel a psycho stalker, Alec Baldwin! Conversely, if the troll was just your run-of-the-mill Internet jerk (with or without diagnosable mental issues), then Baldwin just sent thousands of people in that troll's direction.?

At least Lee and Baldwin have an excuse -- they haven't witnessed a lot of Internet action based on their every tweet. (That and the fact that they were responding to perceived injustices.) Bieber, however, should know better, considering past chaos wrought by the Believers in cyberspace.?

In 2010, when bassist and vocalist Esperanza Spalding dared to beat out Bieber for the Best New Artist Grammy, Beliebers trashed her Wikipedia page to vent their rage over this shocking injustice.?

Selena Gomez, Kim Kardashian and one 15-year-old girl who tore up a Bieber poster on YouTube, all were hit with countless grammatically confused, expletive-inflected, angry death threats via Twitter.

Greg Leuch got both death threats and at least one inappropriate comparison to Hitler for creating ShavedBieber, a Firefox extension that blocks out all Internet instances of "Bieber," "Justin Bieber" and photos with "Bieber" in the file name.

There are no death threats for the two Texas at the end of the wrong numbers. But?given the looming threat of of the Beliebers always lurking in Twitter's wings, perhaps the phone-prank plaintiffs should request a pro-active tweet from Bieber to leave the already beleaguered phone owners alone.

It probably won't work -- what with those Beliebers being uncontrollable or containable and all -- but it's worth a shot. I mean, as long as Bieber's on Twitter anyway.?

Queen's bank fined for 'serious' money laundering faults

LONDON - The bank used by Great Britain's queen, Coutts, has been hit with a record fine by regulators for failing to monitor whether money it was handling was the proceeds of crime.

An investigation by Britain?s Financial Services Authority found the institution neither controlled its relationships with new customers, nor did it monitor existing relationships.


The Daily Telegraph reported that the bank failed to carry out correct checks on "politically exposed persons," wealthy foreign politicians and their families, often from troubled countries such as Libya.

?

The FSA imposed a fine of $13.8 million (8.75 million pounds), the highest ever issued for such failures.

"The failings at Coutts were serious, systemic and were allowed to persist for almost three years," it said in a statement posted on its web site. "They resulted in an unacceptable risk of Coutts handling the proceeds of crime."

It said the fine would have been even higher but the bank qualified for a 30 per cent discount for early payment.

Coutts is part of the Royal Bank of Scotland Group, which is 82-per-cent-owned by the British taxpayer following a 2008 rescue bailout.

The Daily Telegraph said the bank offers free current accounts to customers who invest at least $400,000 (250,000 pounds).

Coutts' parent company said it had not found any evidence that money laundering took place.

In a statement, Rory Tapner, chief executive of the wealth division of Royal Bank of Scotland, said: "Since the FSA first raised its concerns, we have implemented a number of improvements to prevent any recurrence of these failings. Regulatory reforms continue apace.? We remain committed to ensuring that our systems and controls are robust and counter the risk of financial crime in all the markets in which we operate."

Planning an exit strategy for your business | Small Business ...

Far too many business owners do not realize that, as your business grows, careful strategic planning to sell your business is just as important as a business plan to launch and grow your business.

In addition to an independent lifestyle and personal fulfillment, a successful exit is the primary motivator for business ownership and entrepreneurship.

(Not to mention that a successful exit tends to improve one?s lifestyle and personal fulfillment?)

Because acquisition is the most common exit for an entrepreneur / business owner, here are nine tips to better prepare you to sell your business.

1. Don?t Wait Too Long To Sell

Many business owners wait until the last minute to try and sell their business. They wait until the business is stagnating, or they are exhausted with running the business. In fact, the best time to sell is when business is booming.

2. Take Your Time ? Don?t Be in Too Much of a Hurry

If you are in too much of a hurry to sell, you will probably leave a lot of money on the table. Buyers ? especially sophisticated larger corporations ? will likely sense your urgency and will take advantage of it in the negotiation period.

3. Start the Process Early

It?s a good idea to begin preparing 2-4 years BEFORE the sale. It?s much more expensive and time-consuming to rush and prepare all of the necessary financial and other information in a few months than it is to consistently record and compile records over a period of years. This record-keeping is also important for your business?s growth, since it provides more perspective on your company?s performance.

4. Get Your House in Order

Make sure that you have been keeping accurate financial records and that your assets are ready for sale.? This includes both tangible assets such as equipment and inventory, as well as intangible assets such as contracts, leases, patents, trademarks, etc. ?Make sure that everything is assignable to the buyer and be prepared for extensive due diligence.

5. Try to See It From the Buyer?s Point of View

A buyer?s motivations are often different than the typical business owner?s. While the entrepreneurial business owner may get excited about innovation and creative strategies, the buyer cares much more about the potential for stable revenue streams and growth potential.? Take time to understand your potential buyer?s point of view, interests, and motivations.

6. Make Yourself Less Central to the Business?s Success

The buyer wants to buy a business ? not you or your job.? From the buyer?s perspective, it?s better if the current owner is not important to the success of the business.? Therefore, in planning for the sale of your business, you should begin training your management team to take over critical business functions.? If all of the key decisions revolve around you (the owner), then the value of the company will be limited without the owner ? and therefore, the business is less attractive to a buyer.

7. Meanwhile, Keep Focused on Running (and Growing) Your Business

When starting the sales process, you must keep a laser-sharp focus on your business?s operations.? It?s important that you do not get too wrapped up in either the sales process or in the romance of any particular sale offer.? As difficult as this is, it?s best to act as if any deal can fall through, even if you are in the final negotiation period, because any deal can come unraveled at the last moment.? Keep your focus on growing your business until the check has cleared and is in the bank.

In addition, you should do your best to keep the sales process confidential so that you do not endanger relationships with any key clients, employees, or partners whose departure could threaten a transaction or the operations of your business.

8. Get Professional Assistance

If you are a business owner seeking to sell your business, you can benefit from outside advice and assistance.? As the old saying goes, ?The attorney who represents himself has a fool for a client.?? The same applies for a business owner selling without an advisor.? Your advisor will provide you with guidance regarding valuation, due diligence, and the marketing of your business opportunity.? Without a competent advisor, you decrease your chances of selling your business at its maximum price.

9. Even if a Deal Comes, Be Prepared to Say No

If you have invested a lot of time and energy into the search, negotiation, and due diligence phases, you may be reluctant to reject any deal that comes across the table. However, just because you have a deal in front of you, you do not have to take it.? If the price is not attractive or if the deal is not right for another reason ? and it cannot be mended ? you may be wise to walk away and consider the next opportunity.

Sometimes, during the process of preparing their business for sale, business owners will find themselves at the helm of a much more profitable, attractive business.? If you have a profitable business, keep in mind that you have other options at your disposable.? In addition to selling your business, you can continue to grow organically, raise growth capital, and/or explore strategic partnerships.

It?s important to continually evaluate your options throughout all phases of business growth to ensure that you are making the best decisions for the long term.
